Hier een antwoordmail. Ik heb 'm in het Engels gehouden omdat Robin ook in het Engels schreef. Twee versies, want de keuze coulance-deur open of dicht is echt aan jou.

Twee versies, allebei correct en zonder aansprakelijkheid te erkennen:

De deur-dicht-versie stelt vriendelijk maar duidelijk dat je hier geen partij in bent en het niet verder oppakt. Juridisch sta je hiermee prima — andere entiteit, gestaakt, geen gegevens.

De coulance-versie houdt dezelfde juridische lijn aan, maar nodigt hem uit zijn orderbevestiging en betaalbewijs te sturen "als geste van goodwill", zonder iets toe te zeggen. Handig als je gedoe (review, geschillencommissie) wilt voorkomen, of gewoon eerst wilt zien of hij überhaupt echt bewijs heeft.

Welke ik zou kiezen: als het bedrag klein is en je twijfelt of hij te goeder trouw is, is de coulance-versie slim — je verplicht je tot niks, maar je dwingt hém om met bewijs te komen. Blijkt het bewijs echt en gaat het om een paar tientjes, dan kun je alsnog uit coulance oplossen. Komt er niks, dan is het klaar. Is het bedrag groot of vertrouw je het niet, dan de deur-dicht-versie.

Let op één ding: in beide staat "our current company was incorporated in December 2022 / placed with a separate, earlier business that has since ceased trading." Check even of je dit zo naar buiten wilt communiceren — het is waar en het is je sterkste argument, maar je geeft er wel bedrijfsstructuur-informatie mee prijs. Voor deze situatie is dat prima; ik noem het alleen zodat je het bewust doet.

Nee, dat klopt niet helemaal — en dit is een misvatting die vervelend kan uitpakken, dus goed dat je het vraagt. Het staken van een onderneming laat de bewaarplicht niet verdwijnen; die blijft gewoon 7 jaar staan, alleen verschuift de vraag naar wie verantwoordelijk is voor het bewaren.

Even uit elkaar, want het hangt af van wat je oude onderneming was:

Was het een eenmanszaak/vof? Dan is er geen aparte rechtspersoon — jíj was de onderneming. De administratie moet 7 jaar bewaard worden, en die verplichting rust op jou persoonlijk, ook na beëindiging. Staken maakt de zaak niet weg; jij blijft de bewaarplichtige.

Was het een BV die is ontbonden/geliquideerd? Dan is er een specifieke wettelijke regel: na ontbinding van een rechtspersoon moeten de boeken, bescheiden en gegevensdragers nog 7 jaar bewaard worden. De vereffenaar wijst bij de ontbinding een "bewaarder" aan (vaak een van de bestuurders/aandeelhouders — in de praktijk jij), en die persoon wordt geregistreerd bij de KvK. Dus zelfs bij een opgeheven BV verdwijnt de plicht niet; hij wordt overgedragen aan een aangewezen bewaarder.

In beide gevallen geldt: de fiscale bewaarplicht van 7 jaar (Belastingdienst) loopt gewoon door, ongeacht dat de onderneming niet meer bestaat. Een order uit oktober 2022 valt daar dus nog binnen — die administratie hoor je in principe nog te hebben, ook al is de onderneming gestaakt.

Wat betekent dit nu concreet voor jouw situatie met Robin?

Het goede nieuws: dit verandert je juridische positie tegenover Robin niet wezenlijk. Je huidige BV blijft een andere entiteit en is geen partij bij die order — dat argument staat. En of jij die oude administratie nu wél of niet netjes bewaard hebt, verplicht je nog steeds niet om Robin vanuit je huidige BV te helpen of terug te betalen.

Maar het heeft één belangrijke implicatie voor jóú, los van deze klant: als de Belastingdienst de administratie van je oude onderneming binnen die 7 jaar opvraagt en je hebt niks, dan zit jij (of de aangewezen bewaarder) met een probleem — dat kan boetes opleveren en je bewijspositie verzwakken. Dus het feit dat je die order én de administratie "nergens kunt vinden" is iets om serieus te nemen voor je eigen situatie, niet vanwege Robin.

Praktisch advies: zoek even uit waar de administratie van je oude onderneming is gebleven — bij je oude boekhouder, in een oude Shopify/boekhoudsoftware-export, een backup, ergens. Niet om Robin te helpen, maar omdat je die stukken tot ergens in 2029/2030 hoort te kunnen tonen aan de fiscus. Als je destijds een boekhouder had, is de kans groot dat die het nog heeft gearchiveerd.

Voor de mail aan Robin verandert er niets — de lijn "andere, inmiddels gestaakte onderneming, ik heb geen toegang tot die order- en verzendgegevens" blijft correct en bruikbaar. Je hoeft tegenover hem niet uit te weiden over bewaarplicht; dat is jouw interne aangelegenheid.

Wil je dat ik je help uitzoeken welke bewaarplicht precies op jouw oude entiteit van toepassing was? Dan moet ik weten of het een eenmanszaak of een BV was, en of die BV formeel is ontbonden of gewoon "op non-actief" staat — dat maakt voor jouw eigen verplichting namelijk verschil.
